This Master Equipment Lease Agreement (“Agreement”) is made between the MSA affiliate (“Lessor”), and company (“Lessee”) indicated on the MSA+ Lease Schedule (“Lease Schedule”), incorporated herein as Exhibit A.

This Agreement is effective as of the last dated signature by the parties. In consideration of the mutual covenants contained herein, the parties agree as follows:

ESTE CONTRATO MAESTRO DE ARRIENDO DE EQUIPOS (Acuerdo) se realiza entre la afiliada de MSA (Arrendador)) y la compañía (Arrendatario) indicada en el Programa de Arrendamiento de MSA+ ("Programa de Arrendamiento"), incorporado aquí como Anexo A.

Este acuerdo es efectivo a partir de la última firma fechada por las partes. En consideración a los pactos mutuos contenidos en este documento, las partes acuerdan los siguientes puntos:

1. AGREEMENT. Lessee agrees to rent from Lessor, and Lessor agrees to rent to Lessee, on the terms and conditions contained in this Agreement, the equipment listed in the Lease Schedule (“Equipment”), which is hereby incorporated by reference. This Agreement also incorporates the terms and conditions of the Cloud Subscription Agreement (“SaaS Agreement”) between {{lessorName}} (“Safety io”) and Lessee, incorporated herein as Exhibit B.

To the extent of any conflict between any of the terms of the Agreement, the following order of precedence shall apply in descending order of precedence: (a) the Exhibit A, (b) the SaaS Agreement; (c) Section 1 – Section 27 of this document. Any terms and conditions of Lessee’s purchase order or similar document shall not apply.

1. ACUERDO. El Arrendatario acepta otorgar en arrendamiento al Arrendador, y el arrendador acepta recibir en arrendamiento del Arrendatario, en los términos y condiciones contenidos en este Contrato, el equipo detallado en el Programa de Arrendamiento (el "Equipo"). Este Contrato también incorpora los términos y condiciones del acuerdo de suscripción en la nube ("Acuerdo SaaS") entre {{lessorName}} ("Safety io") y el Arrendatario, el cual forma parte del presente Contrato como Anexo B.

En la medida que surja cualquier conflicto entre cualquiera de los términos del Contrato, se aplicará el siguiente orden de precedencia en orden descendente: (a) el Anexo A del presente Contrato, (b) el acuerdo SaaS; (c) sección 1 – sección 27 del documento. Se deja constancia que los términos y condiciones de la orden de compra del Arrendatario o documento similar no será aplicable.

1. LEASE. The Parties agree that this Agreement shall be a lease, governed by the provisions of the Peruvian Civil Code. At all times the Lessor shall maintain ownership of the Equipment. For its part, the Lessee does not acquire ownership of the Equipment, nor any rights other than those granted under the terms and conditions of this Agreement, including all annexes attached hereto.

1. ARRENDAMIENTO. Las Partes acuerdan que el presente Contrato será uno de arrendamiento, regulado por lo establecido en el Código Civil peruano. En todo momento el Arrendador mantendrá la propiedad del Equipo. Por su parte, el Arrendatario no adquiere la propiedad del Equipo, ni ningún otro derecho distinto a los otorgados en virtud de los términos y condiciones de este Contrato, incluidos todos los anexos adjuntos al presente.

1. TERM.

This Lease is effective for the lease term ("Lease Term") indicated in the corresponding purchase order that the Lessor will send to the Lessee as part of the Lease Schedule. The term shall be binding on Lessee and may not exceed the maximum term established by applicable law. During the Lease Term, Lessee agrees to pay to Lessor all amounts of rent and other sums due hereunder, together with any other payments stated in the Lease Schedule ("Rent"), without reduction, deduction, claim, counterclaim, withholding, rebate or set-off for any reason whatsoever. Lessee's obligation to make payment shall be absolute and unconditional. The Lessee shall pay the Rent as established by the Lessor in the Lease Schedule. Rent does not include VAT or any other applicable taxes or duties or similar charges which shall be payable by Lessee at the rate and in the manner from time to time as prescribed by applicable law.

Should Lessee fail to make payment when due, whether for Rent or any other payment obligation due under this Lease, then, without limiting Lessor's remedies under this Agreement, Lessee shall pay interest to Lessor at the maximum rate permitted by applicable law, but in no event in excess of a nominal rate of 1.5% per month, on any amount past due from the date Lessee is required to make any payment of Rent or other amount hereunder. Such interest shall be payable with respect to the period commencing on the date such payment is due until the date such payment is made. The payment by Lessee of any late charges shall not excuse Lessee from any default under this Agreement or any Schedule.

The Parties agree that the agreed default interest shall accrue without the need for notice from the Lessor, this being an agreement contrary to the provisions of the Civil Code.

1. PLAZO.

Este Contrato surte efectos por el plazo de arrendamiento ("Plazo del arrendamiento") indicado en la orden de compra correspondiente que el Arrendador enviará al Arrendatario como parte del Programa de Arrendamiento. El plazo será forzoso para el Arrendatario y no podrá superar el plazo máximo establecido por la ley aplicable. Durante el Plazo del Arrendamiento, el Arrendatario se compromete a pagar al Arrendador todos los montos de alquiler y otras sumas adeudadas en virtud del presente, junto con cualquier otro pago indicado en el Programa de Arrendamiento ("Renta"), sin reducción, deducción, reclamo, reconvención, retención, rebaja o compensación por cualquier motivo. La obligación del Arrendatario de efectuar el pago será absoluta e incondicional. El Arrendatario deberá pagar la Renta según lo establecido por el Arrendador en el Programa de Arrendamiento. La Renta no incluye el IGV o cualquier otro impuesto o arancel aplicable o cargos similares que serán pagaderos por el Arrendatario a la tasa y en la forma de vez en cuando según lo prescrito por la ley aplicable.

En caso de que el Arrendatario no realice el pago en el plazo estipulado, ya sea por Renta o cualquier otra obligación de pago adeudada en virtud de este Contrato, entonces, sin limitar los recursos del Arrendador en virtud de este acuerdo, el Arrendatario pagará intereses al arrendador a la tasa máxima permitida por la ley aplicable, pero en ningún caso en exceso de una tasa nominal del 1.5% por mes, sobre cualquier cantidad vencida desde la fecha en que el Arrendatario deba realizar cualquier pago de Renta u otra cantidad en virtud del presente. Dichos intereses serán pagaderos con respecto al período que comience en la fecha de vencimiento de dicho pago hasta la fecha en que dicho pago se concrete. El pago por parte del Arrendatario de cualquier cargo por retraso no excusará al Arrendatario de ningún incumplimiento en virtud de este acuerdo o de cualquier anexo.

Las Partes acuerdan que los intereses moratorios pactados se devengaran sin necesidad de intimación por parte del Arrendador, siendo la presente un pacto en contrario a lo establecido en el Código Civil.

1. WARRANTY. Lessee shall be entitled to Lessor’s standard manufacturer’s warranty that accompanies the Equipment. The warranty period will be extended, as needed, to cover the Lease Term. This warranty will be Lessee’s exclusive remedy for any breach of warranty claim under this Agreement and any applicable Exhibit.

1. GARANTÍA. El Arrendatario tendrá derecho a la garantía estándar del fabricante del Arrendador que acompaña al Equipo. El período de garantía se extenderá, según sea necesario, para cubrir el Plazo de Arrendamiento. Esta garantía será el recurso exclusivo del Arrendatario para cualquier incumplimiento de la reclamación de garantía en virtud de este Contrato y cualquier anexo aplicable.

5. NO OTHER WARRANTIES BY LESSOR; MAINTENANCE COMPLIANCE WITH LAWS AND INSURANCE.

  1. Lessee agrees that Lessor is supplying the Equipment at Lessee’s request and that it is of a size, design, and capacity selected by Lessee. Lessee will be deemed to have accepted the Equipment as soon as it has been delivered and is operational. Except as provided by the guarantee granted under Section 5 above,

LESSOR MAKES NO WARRANTY OR REPRESENTATON, EITHER EXPRESS OR IMPLIED, AS TO THE FITNESS, QUALITY, DESIGN, CONDITION, CAPACITY, NON-INFRINGEMENT, TITLE, SUITABILITY, MERCHANTABILITY OR PERFORMANCE OF THE EQUIPMENT OR OF THE MATERIAL OR WORKMANSHIP THEREOF, OTHER THAN SUCH WARRANTIES AS CANNOT BE EXCLUDED BY LAW. LESSEE ACCORDINGLY AGREES NOT TO ASSERT ANY CLAIM WHATSOEVER AGAINST THE LESSOR BASED THEREON. LESSEE FURTHER AGREES, REGARDLESS OF CAUSE, NOT TO ASSERT ANY CLAIM WHATSOEVER AGAINST THE LESSOR FOR LOSS OF ANTICIPATORY PROFITS OR CONSEQUENTIAL LOSS ORDAMAGES, FOR ANY REASON RELATED TO THIS AGREEMENT. LESSOR MAKES NO WARRANTY OF ANY KIND THAT THE EQUIPMENT, OR ANY RELATED ACCESSORY, COMPONENT, SOFTWARE, OR OTHER PORTION OF THE MSA+ PROGRAM, WILL MEET LESSEE’S OR ANY OTHER PERSON’S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY SOFTWARE, SYSTEM OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR FREE.

  1. No verbal commitment, warranty, promise, condition, condition, representation or guarantee shall be binding upon Lessor; all prior discussions, leases or representations relating hereto and/or to the Equipment are incorporated herein, and no modification hereof shall be binding unless signed in writing by Lessor. Lessee agrees, at its sole cost and expense, to (i) pay all charges and expenses in connection with the operation of each item of Equipment; (ii) comply with all laws, ordinances, regulations, governmental requirements and rules with respect to the use, maintenance and operation of each item of Equipment; (iii) maintain at all times insurance at usual market terms for equipment and conditions similar to those of this Lease, or in such amount as Lessor may from time to time reasonably require, to cover any public or third party liability risks of whatever nature and however arising in connection with the Equipment; and (iv) insurance against any other or further risks relating to the Equipment as may be required by law, together with such other insurance as Lessor may from time to time deem reasonably necessary and advise Lessee in writing. All insurance policies shall provide that no modification or cancellation thereof shall be effective as to Lessor without thirty days prior written notice to Lessor, and Lessor warrants to maintain the Equipment in good condition, reasonable wear and tear excepted.
  2. Notwithstanding the foregoing, Lessee's failure to maintain the required insurance shall not cause any remedy available to Lessor to fail, and Lessee shall indemnify and hold Lessor harmless from and against any claims, damages, expenses, losses or costs (including attorneys' fees) resulting from or related to Lessee's failure to maintain the required insurance. Lessee shall be responsible for paying any deductibles due on any claims under such insurance policies. In the event of any claim arising under such insurance policies, Lessee shall immediately notify Lessor in writing. If Lessee fails to effect or maintain any such insurance required under this Lease, Lessor shall be entitled to effect and maintain the same, pay such premiums as may be necessary for that purpose and recover the same as a debt due Lessee. Lessee shall, upon request, provide copies of the relevant insurance policies or other confirmation of insurance acceptable to Lessor and proof of premium payment to Lessor to confirm the insurance arrangements.
  3. Lessee shall maintain the Equipment (i) subject to inspection by Lessor at reasonable times and in reasonable ways and, for such purposes, permit Lessor to enter upon the premises upon which the Equipment may be located, (ii) at locations, facilities, service areas or work areas ("Premises") of Lessee (or the premises of Lessee's customers, where Lessee is a distribution partner of Lessor) which Equipment shall remain in the possession of Lessee's personnel or individuals designated by Lessee, and used only for the purposes for which the Equipment is designed, (iii) free and clear of all security interests of any kind, liens, attachments and other claims, except (1) those of persons claiming solely against Lessor but not against Lessee on account of obligations which Lessee is not bound by this Agreement to perform, (2) current tax liens not delinquent and for which Lessee is in the process of notifying Lessor, (3) marked with Lessor's identifying marks or numbers and, if requested by Lessor, conspicuously labeled with tags supplied by Lessor to disclose Lessor's interest in the Equipment, and (4) in good and efficient working order, condition and repair, reasonable wear and tear is expected. Lessee shall, within five days after receipt of notice thereof, promptly notify Lessor in writing of any mortgage, pledge, lien, encumbrance, attachment, levy, charge, encumbrance, or third party right that has arisen with respect to the Equipment.
  4. Mandatory Modifications. Lessee, at its sole expense, shall make any alteration or modification to the Equipment, including without limitation the replacement or addition of any component, that is:

1. required or supplied by the Lessor or manufacturer; or
2. necessary to comply with applicable laws, rules, regulations, or specifications, and Lessee shall notify Lessor within five days of learning that an alteration or modification is required.

1. NO HAY OTRAS GARANTÍAS POR PARTE DEL ARRENDADOR; CUMPLIMIENTO DE MANTENIMIENTO DE LEYES Y SEGUROS.
   1. El Arrendatario acepta que el Arrendador está suministrando el Equipo a petición del Arrendatario y que es de un tamaño, diseño y capacidad seleccionados por el Arrendatario. Se considerará que el Arrendatario ha aceptado el Equipo tan pronto como haya sido entregado y esté operativo. Sin perjuicio de la garantía otorgada bajo la Sección 5 anterior,

EL ARRENDADOR NO OFRECE NINGUNA OTRA GARANTÍA O REPRESENTACIÓN, YA SEA EXPRESA O IMPLÍCITA, EN CUANTO A LA IDONEIDAD, CALIDAD, DISEÑO, CONDICIÓN, CAPACIDAD, NO VIOLACION, TÍTULO, COMERCIABILIDAD O RENDIMIENTO DEL EQUIPO O DEL MATERIAL O MANO DE OBRA DEL MISMO, APARTE DE LAS GARANTÍAS QUE NO PUEDEN SER EXCLUIDAS POR LA LEY. EN CONSECUENCIA, EL ARRENDATARIO SE COMPROMETE A NO HACER VALER RECLAMACIÓN ALGUNA CONTRA EL ARRENDADOR EN VIRTUD DE LA MISMA. ADEMÁS, EL ARRENDATARIO SE COMPROMETE, INDEPENDIENTEMENTE DE LA CAUSA, A NO HACER VALER NINGUNA RECLAMACIÓN CONTRA EL ARRENDADOR POR PÉRDIDA DE BENEFICIOS ANTICIPADOS O PÉRDIDA O DAÑOS CONSECUENTES, POR CUALQUIER DAÑO RELACIONADO CON ESTE ACUERDO. EL ARRENDADOR NO GARANTIZA QUE EL EQUIPO, O CUALQUIER ACCESORIO, COMPONENTE, SOFTWARE U OTRA PARTE RELACIONADA AL PROGRAMA MSA+, CUMPLA CON LOS REQUISITOS DEL ARRENDATARIO O DE CUALQUIER OTRA PERSONA, OPERE SIN INTERRUPCIÓN, LOGRE CUALQUIER RESULTADO PREVISTO, SEA COMPATIBLE O FUNCIONE CON CUALQUIER SOFTWARE, SISTEMA U OTROS SERVICIOS, O QUE SEA SEGURO, PRECISO, COMPLETO, LIBRE DE CÓDIGOS DAÑINOS, O LIBRE DE ERRORES.

  1. Ningún compromiso verbal, garantía, promesa, condición, representación o garantía será vinculante para el Arrendador; todas las conversaciones previas, arrendamientos o representación relacionadas con el presente y / o con el Equipo están integradas en este documento, y ninguna modificación del presente será vinculante a menos que esté firmada por escrito por el Arrendador. El Arrendatario acepta, a su propio costo y gasto, (i) pagar todos los cargos y gastos en relación con el funcionamiento de cada elemento del Equipo; (ii) cumplir con todas las leyes, ordenanzas, reglamentos, requisitos y reglas gubernamentales con respecto al uso, mantenimiento y operación de cada elemento del Equipo; (iii) mantener en todo momento un seguro según las condiciones usuales del mercado para equipos y condiciones similares a las del presente Contrato, o por la cantidad que el Arrendador pueda requerir razonablemente de vez en cuando, para cubrir cualquier riesgo de responsabilidad pública o de terceros de cualquier naturaleza y sin importar cómo surja en relación con el equipo; y (iv) seguro contra cualquier otro o más riesgos relacionados con el equipo que puedan ser requeridos por la ley, junto con cualquier otro seguro que el Arrendador pueda de vez en cuando considerar razonablemente necesario y asesorar al Arrendatario por escrito. Todas las pólizas de seguro estipularán que ninguna modificación o cancelación de las mismas será efectiva en cuanto al Arrendador sin treinta días de notificación previa por escrito al Arrendador, y el Arrendador garantiza mantener el equipo en buenas condiciones, exceptuando el desgaste razonable.
  2. Sin perjuicio de ello, el hecho de que el Arrendatario no mantenga el seguro requerido no causará que falle ningún recurso disponible para el Arrendador, y el Arrendatario indemnizará y eximirá de responsabilidad al Arrendador de y contra cualquier reclamo, daño, gasto, pérdida o costo (incluidos los honorarios de abogados) que resulte o esté relacionado con el incumplimiento del seguro requerido por parte del Arrendatario. El Arrendatario será responsable de pagar los deducibles adeudados en cualquier reclamación en virtud de dichas pólizas de seguro. En el caso de cualquier reclamación que surja en virtud de dichas pólizas de seguro, el Arrendatario deberá notificar inmediatamente por escrito al Arrendador. Si el Arrendatario no efectúa o mantiene cualquiera de estos seguros requeridos en virtud de este Contrato, el Arrendador tendrá derecho a efectuar y mantener los mismos, pagar las primas que sean necesarias para ese fin y recuperar las mismas que una deuda adeudada al Arrendatario. El Arrendatario deberá, previa solicitud, proporcionar copias de las pólizas de seguro pertinentes u otra confirmación de seguro aceptable para el arrendador y prueba del pago de la prima al Arrendador para confirmar los acuerdos de seguro.
  3. El Arrendatario habrá de mantener el equipo (i) sujeto a inspección por parte del Arrendador en momentos y formas razonables y, para tales fines, permitir que el Arrendador ingrese a las instalaciones en las que el equipo pueda estar ubicado, (ii) en ubicaciones, instalaciones, áreas de servicios o áreas de trabajo ("Instalaciones") del Arrendatario (o las instalaciones de los clientes del Arrendatario, donde el Arrendatario sea un socio distribuidor del Arrendador) cuyo equipo se mantendrá en posesión del personal del Arrendatario o individuos designados por el Arrendatario, y utilizados solo para los fines para los cuales se diseña el equipo, (iii) libre de todo derecho de garantía real de cualquier tipo, gravámenes, embargo y otras reclamaciones, excepto (1) las de las personas que reclaman únicamente contra el Arrendador pero no contra el Arrendatario a causa de obligaciones que el Arrendatario no está obligado por este acuerdo a cumplir, (2) gravámenes de impuestos corrientes no morosos y para los cuales el Arrendatario está en proceso de notificar al Arrendador, (3) marcados con las marcas o números de identificación del Arrendador y, si así lo solicita el Arrendador, etiquetados visiblemente con etiquetas suministradas por el Arrendador para revelar el interés del Arrendador en el equipo, y (4) en buen y eficiente estado de funcionamiento, condición y reparación, se espera un desgaste razonable. El Arrendatario, dentro de los cinco días posteriores a la recepción de la notificación del mismo, notificará de inmediato al Arrendador por escrito de cualquier hipoteca, prenda, gravamen, embargo, cobro, gravamen, o derecho de terceros que haya surgido con respecto al Equipo.
  4. Modificaciones obligatorias. El Arrendatario, a su exclusivo costo, realizará cualquier alteración o modificación al equipo, incluyendo, sin limitación, el reemplazo o adición de cualquier componente, es decir:

1. requerido o suministrado por el arrendador o fabricante; o
2. necesario para cumplir con las leyes, reglas, regulaciones o especificaciones aplicables, y el Arrendatario notificará al Arrendador dentro de los cinco días posteriores al conocimiento de que se requiere una alteración o modificación.

1. NEW EQUIPMENT VERSION. Should Lessor release a new version of the Equipment, Lessee has the option, on or after the first six months of the Lease Term, to approach Lessor for a new Equipment Rental Agreement at market rate pricing for that new version for the same Lease Term as provided herein and pay an upgrade fee. Any upgraded version of the Equipment shall be subject to the terms and conditions of this Agreement.

1. NUEVAS VERSIONES DE EQUIPOS. En caso de que el arrendador lance una nueva versión del equipo, el arrendatario tiene la opción, dentro o después de los primeros seis meses del plazo de arrendamiento, de acercarse al arrendador para obtener un nuevo contrato de alquiler de equipo a precio de mercado para esa nueva versión por el mismo plazo de arrendamiento según lo dispuesto en este documento y pagar una tarifa de actualización. Cualquier versión mejorada del equipo estará sujeta a los términos y condiciones de este acuerdo.

1. QUIET ENJOYMENT AND DELIVERY.
   1. Where no Event of Default has occurred, and excluding any emergency product recall or similar event, Lessee shall and may quietly have, hold and enjoy the Equipment and every part thereof leased hereunder for the Lease Term, as such Lease Term may be extended hereunder, free from disturbance by Lessor or its agents, employees, successors or assigns, or by anyone (whether the holder of a lien or otherwise) claiming solely by, through or under Lessor.
   2. If Lessee is a private entity, Lessee hereby warrants and represents to Lessor, and its respective successors and assigns: (i) that it has full capacity and authority to enter into and perform its obligations under this Agreement; (ii) that no consent or approval of any trustee or holder of any indebtedness or obligation, and no consent or approval of, or taking of any other action with respect to, any governmental authority, is necessary for execution, delivery or performance of this Agreement; (iii) that this Agreement is legal, valid, binding, and enforceable against the Lessee in accordance with its terms, subject to enforcement limitations imposed by rules of equity or by bankruptcy or similar laws; (iv) where applicable, Lessee is a corporation validly existing and in good standing under the laws of the jurisdiction of its incorporation and the jurisdiction(s) where the Equipment will be located and has adequate corporate power to enter into and perform this Agreement; (v) that the information provided by Lessee in any application to lease the Equipment which is provided by Lessee to Lessor or its agent is true and correct.
   3. If Lessee is a government or quasi-government entity, Lessee represents, covenants and warranties, and as requested by Lessor, will deliver a statement to the effect that: (i) Lessee is a fully constituted political subdivision or agency of the State (or Province) of the Equipment Location, as defined in the Schedule; (ii) the execution, delivery and performance by the Lessee of this lease have been duly authorized by all necessary action on the part of the Lessee; and (iii) this Lease constitutes a legal, valid and binding obligation of the Lessee enforceable in accordance with its terms. Lessee agrees that (i) it will do or cause to be done all things necessary to preserve and keep the Lease in full force and effect; (ii) it has complied with all bidding requirements where necessary and by due notification presented this Agreement for approval and adoption as a valid obligation on its part; and (iii) it has sufficient appropriations or other funds available to pay all amounts due hereunder for the Lease Term.
   4. Delivery shall be made by the Lessor. The Lessor shall use all reasonable endeavors to effect delivery by the agreed delivery date. The risk of loss, theft, damage or destruction of the Equipment shall pass to the Lessee on delivery. The Lessee shall procure that a duly authorized representative of the Lessee shall be present at the delivery of the Equipment. Acceptance of delivery by such representative shall constitute conclusive evidence that the Lessee has examined the Equipment and has found it to be in good condition, complete and fit in every way for the purpose for which it is intended. If required by the Lessor, the Lessee's duly authorized representative shall sign a receipt confirming such acceptance. To facilitate delivery, the Lessee shall at its sole expense provide all requisite materials, facilities, access and suitable working conditions to enable Delivery to be carried out safely and expeditiously. If the Lessee fails to accept delivery of the Equipment on the delivery date, then, except where such failure is caused by the Lessor's failure to comply with its obligations under this Agreement: (i) the Equipment shall be deemed to have been delivered at 9.00 am on the delivery date; and (ii) the Lessor shall store the Equipment until delivery takes place, and charge the Lessee for all related costs and expenses (including insurance).

1. CONVENIO DE GOCE PACIFICO Y ENTREGA.
   1. Cuando no se haya producido ningún evento de Incumplimiento, y excluyendo cualquier retiro de emergencia del Equipo o evento similar, el Arrendatario deberá y podrá tener, mantener y disfrutar tranquilamente del Equipo y cada parte del mismo arrendado en virtud del presente durante el Plazo de Arrendamiento, ya que dicho Plazo de Arrendamiento puede extenderse a continuación, libre de perturbaciones por parte del Arrendador o sus agentes, empleados, sucesores o cesionarios, o por cualquier persona (ya sea el titular de un gravamen o de otro tipo) que reclame únicamente por, a través o bajo el Arrendador.
   2. Si el Arrendatario es una entidad privada, el Arrendatario garantiza y declara ante el Arrendador, y sus respectivos sucesores y cesionarios: (i) que tiene plena capacidad y autoridad para celebrar y cumplir sus obligaciones en virtud de este acuerdo; (ii) que ningún consentimiento o aprobación de ningún fideicomisario o titular de ninguna deuda u obligación, y ningún consentimiento o aprobación de, o toma de cualquier otra acción con respecto a, cualquier autoridad gubernamental, es necesario para la ejecución, entrega o cumplimiento de este Contrato; (iii) que este acuerdo es legal, válido, vinculante y ejecutable contra el Arrendatario de acuerdo con sus términos, sujeto a limitaciones de cumplimiento impuestas por reglas de equidad o por bancarrota o leyes similares; (iv) cuando corresponda, el Arrendatario es una sociedad válidamente existente y al día bajo las leyes de la jurisdicción de su incorporación y las jurisdicciones donde se ubicará el Equipo y tiene el poder corporativo adecuado para celebrar y ejecutar este Contrato; (v) que la información proporcionada por el Arrendatario en cualquier solicitud de arrendamiento del Equipo que el Arrendatario proporcione al Arrendador o a su agente es verdadera y correcta.
   3. Si el Arrendatario es una entidad gubernamental o cuasi-gubernamental, el Arrendatario, según lo solicitado por el Arrendador, entregará una declaración en el sentido de que: (i) el Arrendatario es una subdivisión o agencia política totalmente constituida del estado (o región) de la ubicación del Equipo, según se define en el anexo; (ii) la ejecución, entrega y cumplimiento por parte del Arrendatario de este Contrato ha sido debidamente autorizada por todas los organismos o instituciones necesarias por parte del Arrendatario; y (iii) este arrendamiento constituye una obligación legal, válida y vinculante del Arrendatario exigible de acuerdo con sus términos. El Arrendatario acepta que (i) hará o causara que se hagan todas las acciones necesarias para preservar y mantener el contrato de arrendamiento en pleno vigor y efecto; (ii) ha cumplido con todos los requisitos de licitación cuando sea necesario y, mediante la debida notificación, ha presentado el presente Contrato para su aprobación y adopción como una obligación válida por su parte; y (iii) tiene suficientes consignaciones u otros fondos disponibles para pagar todos los montos adeudados en virtud del presente Contrato por el Plazo de Arrendamiento.
   4. La entrega será realizada por el Arrendador. El Arrendador hará todos los esfuerzos razonables para efectuar la entrega en la fecha acordada. El riesgo de pérdida, robo, daño o destrucción del Equipo pasará al Arrendatario en el momento de la entrega. El Arrendatario procurará que un representante debidamente autorizado del Arrendatario esté presente en la entrega del Equipo. La aceptación de la entrega por parte de dicho representante constituirá una prueba concluyente de que el Arrendatario ha examinado el Equipo y ha encontrado que está en buenas condiciones, completo y apto en todos los sentidos para el propósito para el que está destinado. Si así lo requiere el Arrendador, el representante debidamente autorizado del Arrendatario firmará un recibo confirmando dicha aceptación. Para facilitar la entrega, el Arrendatario deberá proporcionar, a su exclusivo costo, todos los materiales, instalaciones, accesos y condiciones de trabajo adecuadas necesarias para permitir que la entrega se lleve a cabo de manera segura y expedita. 1. DESTRUCTION, LOSS, DAMAGE, MODIFICATION or SUBSTITUTION OF EQUIPMENT.
2. Lessee shall use the Equipment exclusively for its business, in accordance with the manufacturer’s intended use, with due care to prevent injury to any person or property, and in conformity with all applicable laws, ordinances, rules, regulations and other requirements of any insurer or governmental body and with all requirements of the Lessor or other manufacturer with respect to the use, maintenance and operation of the Equipment. Lessee shall not modify any Equipment without the prior written consent of Lessor. Any permitted modifications not removed prior to the return of the Equipment to Lessor shall become the property of Lessor. Lessee shall pay for any damage to the Equipment resulting from its modifications or its removal of such modifications prior to returning the Equipment. It is the intention and understanding of both Lessor and Lessee that the Equipment shall be and at all times remain separately identifiable personal property.
3. Lessee shall be responsible for all non-warranty related costs, expenses and obligations of every kind and nature, including replacement parts, incurred in connection with the use, maintenance, servicing, repair or operation of the Equipment which may arise or be payable during the Lease Term of such Equipment, and shall keep the Equipment in as good repair, condition and working order, normal wear and tear excepted, as when delivered to Lessee. To avoid doubt, title in any and all replacement parts shall vest in Lessor.
4. Lessee has obtained all permits, licenses, certifications, and authorizations required for Lessee to lease and use the Equipment and all such permits, license, certifications and authorization are valid and in full force and effect. All fees and charges with respect to such Permits as of the date hereof have been paid in full. No event has occurred that, with or without notice or lapse of time or both, would reasonably be expected to result in the revocation, suspension, lapse, or limitation of any such Permit.
5. Lessee assumes and shall bear the entire risk of partial or complete loss, theft, damage, destruction, condemnation, requisition, taking by eminent domain or other interruption or termination of use of the Equipment from any cause whatsoever, whether or not insured against, from the date of delivery of the Equipment until the Equipment is returned to and received by Lessor. Lessee shall immediately notify Lessor of any such event, and Lessor shall be entitled to the proceeds of any claim or right of Lessor or Lessee against any third party on account of the foregoing events. Lessor is entitled to be reimbursed by Lessee for all costs and expenses, including court costs and legal fees, incurred in connection with enforcing or realizing upon any such claim or right to proceeds.
6. In the event of theft, loss, condemnation or destruction of any Equipment, the Lessee shall pay a replacement fee as set forth in Exhibit 2 which is an integral part of this Agreement, which indicates the replacement fee for each of the Equipment, which represents the reasonable and estimable value of a lost or stolen device. It is clearly stated that this equipment replacement service shall not be construed as insurance, being only an equipment replacement fee in case of total loss or theft of the Equipment.

In the event of damage or modification to the Equipment, Lessee shall pay for repairs to the Equipment at prevailing repair rates in addition to any rental fees incurred. In the event Lessor replaces or exchanges any of the Equipment, accessories or components originally supplied with other used, worn or not originally supplied items, Lessor shall pay the full replacement price for all items replaced or exchanged, in addition to any rental fees incurred. Title to all such replacements or exchanges shall vest in Lessor. Lessor shall not be obligated to undertake, by process, proceeding, litigation or otherwise, the collection of any claim against any person for loss of or damage to the Equipment. The loss in whole or in part of the use or possession thereof to Lessee shall not relieve or discharge Lessee from the obligation to pay rental fees due under this Lease.

1. DESTRUCCIÓN, PÉRDIDA, DAÑO, MODIFICACIÓN O SUSTITUCIÓN DE EQUIPOS.
   1. El Arrendatario utilizará el Equipo exclusivamente para su negocio, de acuerdo con el uso previsto por el fabricante, con el debido cuidado para evitar lesiones a cualquier persona o propiedad, y en conformidad con todas las leyes, ordenanzas, reglas, regulaciones y otros requisitos aplicables de cualquier asegurador u organismo gubernamental y con todos los requisitos del Arrendador u otro fabricante con respecto al uso, mantenimiento y operación del Equipo. El Arrendatario no modificará ningún equipo sin el consentimiento previo por escrito del Arrendador. Cualquier modificación permitida que no se elimine antes de la devolución del equipo al Arrendador pasará a ser propiedad del Arrendador. El Arrendatario deberá pagar por cualquier daño al Equipo que resulte de sus modificaciones o su eliminación de dichas modificaciones antes de devolver el Equipo. Es la intención y el entendimiento tanto del Arrendador como del Arrendatario que el Equipo será y en todo momento seguirá siendo propiedad personal identificable por separado.
   2. El Arrendatario será responsable de todos los costos, gastos y obligaciones no relacionados con la garantía de todo tipo y naturaleza, incluidas las piezas de repuesto, incurridos en relación con el uso, mantenimiento, servicio, reparación u operación del Equipo que puedan surgir o ser pagaderos durante el Plazo de Arrendamiento de dicho Equipo, y mantendrá el Equipo en buena reparación, condición y orden de trabajo, excepto el desgaste normal, cuando se entrega al Arrendatario. Para evitar dudas, la titularidad de todas y cada una de las piezas de repuesto recaerán en el Arrendador.
   3. El Arrendatario ha obtenido todos los permisos, licencias, certificaciones y autorizaciones requeridas para que el arrendatario arriende y utilice el equipo y que todos dichos permisos, licencias, certificaciones y autorizaciones son válidos y están en pleno vigor y efecto. Todas las tarifas y cargos con respecto a dichos permisos a la fecha del presente documento se han pagado en su totalidad. No ha ocurrido ningún evento que, con o sin previo aviso o lapso de tiempo o ambos, se espere razonablemente que resulte en la revocación, suspensión, lapso o limitación de dicho permiso.
   4. El Arrendatario asume y asumirá todo el riesgo de pérdida parcial o completa, robo, daño, destrucción, condena, requisa, toma por dominio eminente u otra interrupción o terminación del uso del Equipo de cualquier causa, esté o no asegurada, desde la fecha de entrega del Equipo hasta que el equipo sea devuelto y recibido por el Arrendador. El Arrendatario notificará inmediatamente al Arrendador de cualquier evento de este tipo, y el Arrendador tendrá derecho al producto de cualquier reclamo o derecho del Arrendador o Arrendatario contra cualquier tercero a causa de los eventos anteriores. El Arrendador tiene derecho a que el Arrendatario le reembolse todos los costos y gastos, incluidos los costos judiciales y los honorarios legales, incurridos en relación con la ejecución o realización de dicho reclamo o derecho a ganancias.
   5. En caso de robo, pérdida, condena o destrucción de cualquier Equipo, el Arrendatario deberá pagar una tarifa de reemplazo según lo establecido en el Anexo 2 que forma parte integrante del presente Contrato, en el cual se indica la tarifa de reemplazo para cada uno de los Equipos, la misma que representa el valor razonable y estimable de un dispositivo perdido o robado. Queda claramente establecido que este servicio de sustitución de equipos no podrá entenderse como si fuera un seguro, siendo únicamente una tarifa de reemplazo del equipo en caso de pérdida total o robo del Equipo.

En caso de daño o modificación del Equipo, el Arrendatario deberá pagar las reparaciones del Equipo a las tarifas de reparación vigentes, además de las tarifas de alquiler incurridas. En el caso de que el Arrendador sustituya o intercambie cualquiera de los Equipos, accesorios o componentes suministrados originalmente con otros artículos usados, desgastados o no suministrados originalmente, el Arrendador pagará el precio de reemplazo completo de todos los artículos sustituidos o intercambiados, además de los gastos de alquiler incurridos. La titularidad de todos estos sustitutos o permutas recaerá en el Arrendador. El Arrendador no estará obligado a emprender, por proceso, procedimiento, litigio o de otro modo, el cobro de cualquier reclamación contra cualquier persona por pérdida o daño del Equipo. La pérdida total o parcial del uso o posesión de los mismos al Arrendatario no liberará ni eximirá al Arrendatario de la obligación de pagar las tarifas de alquiler adeudadas en virtud de este Contrato.

1. CLEANING, SANITIZING & DECONTAMINATION OF EQUIPMENT.

All rental equipment being returned must be cleaned, sanitized, or decontaminated as necessary to minimize the possibility of MSA employee exposure to health hazards in handling material. A Certificate of Decontamination must accompany any equipment being returned that has been exposed to a hazardous substance. All applicable laws and regulations shall apply. Lessee agrees to pay additional charges if required to clean, sanitize, remove added stickers or otherwise return the equipment to the same condition as it was when rented.

1. LIMPIEZA, SANITIZACIÓN Y DESCONTAMINACIÓN DE EQUIPOS.

Todo el equipo de alquiler que se devuelva debe limpiarse, desinfectarse o descontaminarse según sea necesario para minimizar la posibilidad de que los empleados de MSA se expongan a peligros para la salud en el manejo de material. Un certificado de descontaminación debe acompañar a cualquier equipo que se devuelva y que haya estado expuesto a una sustancia peligrosa. Se aplicarán todas las leyes y regulaciones aplicables. El Arrendatario se compromete a pagar cargos adicionales si es necesario para limpiar, desinfectar, quitar las pegatinas agregadas o devolver el Equipo a las mismas condiciones que cuando se alquiló.

1. RETURN OF EQUIPMENT.

Within thirty (30) days upon the earlier of expiration or earlier termination of (i) this Agreement or (ii) the Lease Term, the Lessee shall return the Equipment to Lessor in the same condition as received, reasonable wear and tear excepted and in the condition required by Section 9 and 10. Lessee shall permit the Equipment to be inspected by agent(s) of Lessor, if Lessor so requests, and shall cause the Equipment to be (a) repaired, if necessary, so as to place the Equipment in the foregoing condition, (b) crated, and (c) shipped by truck or other normal ground transportation to such address as Lessor may designate. Lessor shall pay all expenses arising from any Lessor inspection, and Lessee shall pay all expenses arising from the above clauses (a), (b) and (c) of this Section 11. Should Lessee continue to possess the Equipment after it is due to be returned to Lessor, Lessee shall continue to pay Rent on a month-to-month basis on the terms of this Agreement until the Equipment is returned, plus any costs or expenses incurred by Lessor due to the Equipment holdover.

1. DEVOLUCIÓN DEL EQUIPO.

Dentro de los treinta días anteriores a la expiración o terminación anticipada de (i) este Contrato o (ii) el Plazo de Arrendamiento, el Arrendatario devolverá el Equipo al Arrendador en las mismas condiciones que recibió, exceptuando el desgaste razonable y en la condición requerida por las secciones 9 y 10. El Arrendatario permitirá que el Equipo sea inspeccionado por el o los agentes del Arrendador, si el Arrendador así lo solicita, y hará que el Equipo sea (a) reparado, si es necesario, para colocar el Equipo en la condición anterior, (b) embalado y (c) enviado por camión u otro transporte terrestre normal a la dirección que el Arrendador pueda designar. El Arrendador pagará todos los gastos que surjan de cualquier inspección del Arrendador, y el Arrendatario pagará todos los gastos que surjan de las cláusulas anteriores (a), (b) y (c) de esta sección 10. En caso de que el Arrendatario continúe poseyendo el equipo después de que deba devolverlo al Arrendador, el Arrendatario continuará pagando la Renta mes a mes según los términos de este acuerdo hasta que se devuelva el Equipo, más cualquier costo o gasto incurrido por el Arrendador debido a la retención del Equipo.

1. TAXES. Sales Tax is additional to the Rent. Lessee agrees to pay all applicable taxes due upon the rental fees and upon additional goods or services that may be sold or provided as part of this Agreement. For clarification, Lessor shall pay any property tax associated with the Equipment, in reliance upon reporting from Lessee regarding the location of the Equipment. Where Lessee is a channel partner of Lessor, Lessee is responsible to report on the current location of the Equipment at the Facilities of Lessee’s customers. Lessee shall defend, indemnify, and hold harmless Lessor from and against any claim, loss, or damage (including attorneys’ fees) incurred or brought against Lessor due to a violation of this Section 11.

1. IMPUESTOS. El impuesto sobre las ventas es adicional a la Renta. El Arrendatario acepta pagar todos los impuestos aplicables adeudados sobre las tarifas de alquiler y sobre bienes o servicios adicionales que puedan venderse o proporcionarse como parte de este Contrato. 1. SHIPPING. Shipping charges are additional to the Rent. Lessee agrees to pay applicable shipping charges for MSA to ship the rented equipment to the desired shipping address. Lessee also agrees to pay shipping charges for returning the Equipment to the designated MSA rental center, per Section 11.

1. RIGHT OF INSPECTION AND IDENTIFICATION OF EQUIPMENT. Lessee will at all times protect and defend, at its own cost and expense, the title and interest of Lessor from and against all claims, liens and legal processes of creditors of the Lessee and keep all the Equipment, and Lessee’s interest therein, free and clear from all such claims, liens and processes. Lessee shall not grant or permit any lien on the Equipment except in favor of Lessor. Lessee shall maintain all Equipment-related information in a manner consistent with industry practice (but in no event less than reasonable practices and a reasonable degree of care), comprehensiveness, and accuracy, and as required by applicable law, rule or regulation. Upon Lessor’s reasonable request, Lessee shall promptly furnish to Lessor such Equipment-related information.

1. DERECHO DE INSPECCIÓN E IDENTIFICACIÓN DE EQUIPOS. El Arrendatario protegerá y defenderá en todo momento, a su propio costo y costo, el título e intereses del Arrendador de y contra todos los reclamos, gravámenes y procesos legales de los acreedores del Arrendatario y mantendrá todo el Equipo, y el interés del Arrendatario en el mismo, libre y claro de todos dichos reclamos, gravámenes y procesos. El Arrendatario no otorgará ni permitirá ningún gravamen sobre el Equipo, excepto a favor del Arrendador. El Arrendatario mantendrá toda la información relacionada con el Equipo de una manera consistente con la práctica de la industria (pero en ningún caso menos que las prácticas razonables y un grado razonable de cuidado), la exhaustividad y la precisión, y según lo exija la ley, regla o regulación aplicable. 1. DEFAULT. An “Event of Default” shall occur if:
2. Lessee fails to timely pay Rent, as set forth in the Lease Schedule, or any other payments due under this SaaS Lease Agreement. It is clearly established that the non-payment or partial payment of a single monthly installment of Rent shall entitle Lessor to declare a default under the Lease;
3. Lessee ceases doing business as a going concern, makes an assignment for the benefit of creditors, admits in writing its inability to pay its debts as they become due, files a voluntary petition in bankruptcy, is adjudicated a bankrupt or an insolvent, files a petition seeking for itself any reorganization, arrangement, composition, readjustment, liquidation, dissolution or similar arrangement under any present or future statute, law or regulation or files an answer admitting the material allegations of a petition filed against it in any such proceeding, consents to or acquiesces in the appointment of a trustee, receiver, or liquidator of it or of all or any substantial part of its assets or properties, or if it or its shareholders shall take any action looking to its dissolution or liquidation;
4. within forty-five (45) days after the commencement of any proceedings against Lessee seeking reorganization, arrangement, readjustment, liquidation, dissolution, or similar relief under any present or future statute, law or regulation, such proceedings shall not have been dismissed, or if within forty-five (45) days after the appointment without Lessee’s consent or acquiescence of any trustee, receiver or liquidator of it or of all or any substantial part of its assets and properties, such appointment shall not be vacated;
5. any loss, theft, damage, destruction, sale, assignment, transfer, loss of possession, lien or encumbrances of or on the Equipment or any interest in this Agreement;
6. any failure by Lessee to maintain insurance on the Equipment and supply evidence thereof as required in this Agreement;
7. any levy against or seizure or attachment of, the Equipment or any interest in this Agreement;
8. any use of the Equipment in violation of this Agreement; or
9. any default by Lessee under any other obligation to, or agreement with Lessor, including without limitation, this Agreement (including the Lease Schedule and SaaS Agreement).

Upon the occurrence of an Event of Default, Lessor shall have all the rights and remedies provided by applicable law and by this Agreement, and Lessor may, in its sole discretion, exercise one or more of the following remedies: (a) declare this Agreement, including the Lease Schedule and SaaS Agreement, in default; (b) terminate in whole or in part this Agreement, including the Lease Schedule and SaaS Agreement; (c) take possession of, or render unusable, the Equipment and/or any related SaaS, without demand or notice, without any court order or other process of law, and without liability to Lessee for any damages occasioned by such action; (d) declare all unpaid rentals and other sums due and to become due, whether under this Agreement, the Lease Schedule, or the SaaS Agreement, immediately due and payable; (e) proceed by appropriate court action or actions or other proceedings either at law or in equity to enforce performance by Lessee of any and all covenants of this Agreement and to recover damages for the breach thereof; (f) demand that Lessee deliver the Equipment immediately to Lessor at Lessee’s expense at such place as Lessor may designate; and (d) without notice, liability or legal process, enter by itself and/or its agents into any premises of or under control or jurisdiction of Lessee or any agent of Lessee where the Equipment may be or is believed to be, and repossess all or any item thereof, disconnecting and separating all thereof from any other property and using all force necessary or permitted by applicable law so to do. Upon the occurrence of an Event of Default, Lessee hereby expressly waives all further rights to possession of the Equipment and all claims for injuries suffered through or loss caused by such repossession or lack of access. Lessee shall be responsible for all expenses of retaking, repairing, holding or the like, including Lessor’s reasonable attorney’s fees and expenses. The provisions of this paragraph shall be without prejudice to any rights given to the Lessor by such statute to prove any amounts allowed thereby.

Further, if Lessee is in default of any of its obligations under this Agreement or an Event of Default has occurred, Lessor may, in its sole discretion, make any payment or perform any obligation on behalf of Lessee or take any action that Lessor in Lessor's sole discretion deems necessary to maintain and preserve the Equipment and Lessor's interests therein. Lessor's payment, performance of such obligation, or taking of such action shall not be a waiver by Lessor of any default or Event of Default or a release of Lessee by Lessor. Lessee shall pay immediately on demand to Lessor all sums so paid by Lessor and any expenses (including legal fees and costs) incurred by Lessor in connection with Lessor's payment, performance of such obligation, or taking of such action.

1. POR DEFECTO. Se producirá un "Caso de Incumplimiento" si:
2. El Arrendatario no paga en el plazo correspondiente la Renta, según lo establecido en el Programa de Arrendamiento, o cualquier otro pago adeudado en virtud del presente Contrato del Contrato SaaS. Queda claramente establecido que el incumplimiento o el cumplimiento parcial de una sola mensualidad correspondiente a la Renta, le dará la facultad al Arrendador a declarar un incumplimiento del Contrato;

El Arrendatario deja de hacer negocios como empresa en funcionamiento, hace una cesión en beneficio de los acreedores, admite por escrito su incapacidad para pagar sus deudas a medida que vencen, presenta una petición voluntaria en bancarrota, es declarado en quiebra o insolvente, presenta una petición solicitando para sí cualquier reorganización, arreglo, composición, reajuste, liquidación, disolución o acuerdo similar en virtud de cualquier estatuto, ley o reglamento, o regulación presente o futuro, o presente una respuesta admitiendo las alegaciones materiales de una petición presentada en su contra en cualquiera de dichos procedimientos, autorizaciones o consentimientos en el nombramiento de un fideicomisario, depositario judicial o liquidador de la misma o de la totalidad o cualquier parte sustancial de sus activos o propiedades, o si es que su o sus accionistas han de tomar cualquier medida con miras a su disolución o liquidación;
4. dentro de los cuarenta y cinco días posteriores al inicio de cualquier procedimiento contra el Arrendatario que solicite reorganización, arreglo, reajuste, liquidación, disolución o reparación similar en virtud de cualquier estatuto, ley o reglamento presente o futuro, dichos procedimientos no habrán sido desestimados, o si dentro de los cuarenta y cinco días posteriores al nombramiento sin el consentimiento del Arrendatario o la aquiescencia de cualquier fideicomisario, depositario judicial o liquidador del mismo o de la totalidad o parte sustancial de sus activos y propiedades, dicho nombramiento no quedará vacante;
5. cualquier pérdida, robo, daño, destrucción, venta, cesión, transferencia, pérdida de posesión, gravamen o impedimento de o sobre el equipo o cualquier interés en este Contrato;
6. cualquier incumplimiento por parte del Arrendatario de mantener un seguro sobre el equipo y proporcionar evidencia del mismo según lo requerido en este Contrato;
7. cualquier gravamen contra el equipo o cualquier interés en este Contrato, incautación o embargo del mismo;
8. cualquier uso del Equipo en violación de este Contrato; o
9. cualquier incumplimiento por parte del Arrendatario en virtud de cualquier otra obligación o acuerdo con el Arrendador, incluidos, entre otros, este Contrato (incluido el anexo de arrendamiento y el Contrato SaaS).

Ante la ocurrencia de un caso de incumplimiento el Arrendador tendrá todos los derechos y recursos previstos por la ley aplicable y por este Contrato, y el Arrendador puede, a su entera discreción, ejercer uno o más de los siguientes recursos.: (a) declarar este Contrato, incluido el anexo de arrendamiento y el Contrato SaaS, en mora; (b) resolver total o parcialmente este Contrato, incluido el programa de arrendamiento y el Contrato SaaS; (c) tomar posesión de, o inutilizar, el Equipo y / o cualquier SaaS relacionado, sin demanda o aviso, sin ninguna orden judicial u otro proceso legal, y sin responsabilidad ante el Arrendatario por cualquier daño ocasionado por dicha acción; (d) declarar todos los alquileres impagados y otras sumas adeudadas y próximas a estar vencidas, ya sea en virtud del acuerdo de arrendamiento, el anexo de arrendamiento o el Contrato SaaS, inmediatamente vencidos y pagaderos; (e) proceder mediante acción o acciones judiciales apropiadas u otros procedimientos, ya sea por ley o en equidad, para hacer cumplir por parte del Arrendatario todos y cada uno de los pactos de este Contrato y para recuperar los daños y perjuicios por el incumplimiento de los mismos; (f) exigir que el Arrendatario entregue el Equipo inmediatamente al arrendador a expensas del arrendatario en el lugar que el arrendador designe; y (d) sin previo aviso, responsabilidad o proceso legal, entrar por sí mismo y / o sus agentes en cualquier local de o bajo control o jurisdicción del Arrendatario o cualquier agente del Arrendatario donde el Equipo pueda encontrarse o donde se crea que este pueda encontrarse, y recuperar todo o cualquier elemento del mismo, desconectando y separando todo el mismo de cualquier otra propiedad y utilizando toda la fuerza necesaria o permitida por la ley para así poder hacerlo. Al ocurrir un caso de incumplimiento, el Arrendatario renuncia expresamente a todos los derechos adicionales a la posesión del Equipo y a todas las reclamaciones por lesiones sufridas o pérdidas causadas por dicha recuperación o falta de acceso. El Arrendatario será responsable de todos los gastos de retoma, reparación, retención o similares, incluidos los honorarios y gastos razonables del abogado del Arrendador. Las disposiciones de este párrafo se entenderán sin perjuicio de los derechos otorgados al Arrendador por dicha ley para probar cualquier cantidad permitida de este modo.

Además, si el arrendatario está en incumplimiento de cualquiera de sus obligaciones en virtud de este Contrato o se ha producido un caso de incumplimiento, el Arrendador puede, a su entera discreción, realizar cualquier pago o realizar cualquier obligación en nombre del Arrendatario o tomar cualquier acción que el Arrendador a discreción exclusiva del Arrendador considere necesaria para mantener y preservar el Equipo y los intereses del Arrendador en esto. El pago del Arrendador, el cumplimiento de dicha obligación o la adopción de dicha acción no serán una renuncia por parte del Arrendador de ningún incumplimiento o evento de incumplimiento o una liberación del Arrendatario por parte del Arrendador. 1. INDEMNITY; LIMITATION OF LIABILITY. Lessor shall not be liable to Lessee for and Lessee shall indemnify in full and save Lessor harmless from and against any and all costs, liabilities, losses, damages, expense, causes of action, suits, claims or judgments (including attorneys’ fees and legal costs and penalties), loss of profit, loss of reputation suffered or incurred by Lessor arising out of or in connection with all liability loss or damage to the Equipment arising out of or in connection with any negligence, misuse, mishandling of the Equipment or otherwise caused by Lessee or its officers, employees, agents and contractors, and Lessee shall indemnify any failure by the Lessee to comply with the terms of this Agreement.

Lessor shall not be liable to Lessee for any and all liability arising from or caused directly or indirectly by: (a) Lessee’s failure to promptly perform any of its obligations under this Agreement, or (b) subject to the paragraph below, injury to person or property resulting from or based upon the actual or alleged use or operation of any or all of the Equipment, or (c) inadequacy of the Equipment, or any part thereof, for any purpose or any deficiency or defect therein or the use or maintenance thereof or any repairs, servicing or adjustments thereto or any delay in providing or failure to provide any thereof or any interruption or loss of service or use thereof for any loss of business.

NOTWITHSTANDING ANYTHING ELSE CONTAINED HEREIN, LESSOR’S AND ITS AFFILIATES' TOTAL LIABILITY FOR ALL CLAIMS, WHETHER BASED ON BREACH OF CONTRACT, TORT, NEGLIGENCE, PRODUCT LIABILITY, INDEMNITY, OR OTHERWISE, RELATING TO THE EQUIPMENT SHALL NOT EXCEED THE AMOUNTS PAID BY LESSEE FOR SUCH EQUIPMENT IN THE 12 MONTH PERIOD PRECEDING THE EVENT WHICH GAVE RISE TO SUCH CLAIM. LESSOR SHALL HAVE NO LIABILITY OR INDEMNIFICATION OBLIGATION RESULTING FROM LESSEE’S NEGLIGENCE, MISUSE OF THE EQUIPMENT, OR FAILURE TO FOLLOW MANUFACTURER’S INSTRUCTIONS.

NOTWITHSTANDING ANYTHING ELSE CONTAINED IN THIS AGREEMENT, IN NO EVENT WILL LESSOR BE LIABLE TO THE OTHER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY PUNITIVE, TREBLE OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF BUSINESS, REVENUE, PROFITS, STAFF TIME, GOODWILL, USE, DATA, OR OTHER ECONOMIC ADVANTAGE), WHETHER BASED ON BREACH OF CONTRACT, INDEMNITY, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, WHETHER OR NOT (A) SUCH DAMAGES WERE FORESEEABLE, AND (B) LESSOR HAS PREVIOUSLY BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

1. INDEMNIZACIÓN; LIMITACIÓN DE RESPONSABILIDAD.

El Arrendador no será responsable ante el Arrendatario y el Arrendatario indemnizará en su totalidad y eximirá al Arrendador de y contra todos y cada uno de los costos, responsabilidades, pérdidas, daños, gastos, causas de acción, demandas, reclamaciones o sentencias (incluidos los honorarios de abogados y los costos y sanciones legales), pérdida de ganancias, pérdida de reputación sufrida o incurrida por el arrendador que surjan de o en relación con toda pérdida de responsabilidad o daño al Equipo que surja fuera de o en conexión con cualquier negligencia, mal uso, mal manejo del equipo o de otra manera causado por el Arrendatario o sus funcionarios, empleados, agentes y contratistas, y el Arrendatario deberá indemnizar cualquier incumplimiento por parte del Arrendatario de los términos de este Contrato. Se exceptúa de esta obligación los casos en los que el Arrendatario actúe con dolo o negligencia grave.

El Arrendador no será responsable ante el Arrendatario por ninguna y toda responsabilidad que surja o sea causada directa o indirectamente por: (a) el incumplimiento por parte del Arrendatario de cumplir con prontitud cualquiera de sus obligaciones en virtud de este Contrato, o (b) sujeto al párrafo siguiente, lesiones a personas o propiedad que resulte o se base en el uso u operación real o supuesto de cualquiera o de todos los Equipos, o (c) la insuficiencia del Equipo, o cualquier parte del mismo, para cualquier propósito o cualquier deficiencia o defecto en el mismo o el uso o mantenimiento de los mismos o cualquier reparación, servicio o ajuste de los mismos o cualquier retraso en el suministro o falta de suministro de cualquiera de ellos o cualquier interrupción o pérdida del servicio o uso del mismo por cualquier pérdida de negocio.

SIN PERJUICIO DE CUALQUIER OTRA COSA CONTENIDA EN ESTE DOCUMENTO, LA RESPONSABILIDAD TOTAL DEL ARRENDADOR Y SUS AFILIADOS POR TODAS LAS RECLAMACIONES, YA SEA BASADAS EN INCUMPLIMIENTO DE CONTRATO, AGRAVIO, NEGLIGENCIA, RESPONSABILIDAD DEL PRODUCTO, INDEMNIZACIÓN O DE CUALQUIER OTRO TIPO, RELACIONADAS CON EL EQUIPO NO EXCEDERÁ LAS CANTIDADES PAGADAS POR EL ARRENDATARIO POR DICHO EQUIPO EN EL PERÍODO DE 12 MESES ANTERIOR AL EVENTO QUE DIO LUGAR A DICHA RECLAMACIÓN. EL ARRENDADOR NO TENDRÁ NINGUNA RESPONSABILIDAD U OBLIGACIÓN DE INDEMNIZACIÓN QUE RESULTE DE LA NEGLIGENCIA DEL ARRENDATARIO, EL MAL USO DEL EQUIPO O EL INCUMPLIMIENTO DE LAS INSTRUCCIONES DEL FABRICANTE.

SIN PERJUICIO DE CUALQUIER OTRA COSA CONTENIDA EN ESTE ACUERDO, EN NINGÚN CASO EL ARRENDADOR SERÁ RESPONSABLE ANTE EL OTRO POR DAÑOS INDIRECTOS, ESPECIALES, INCIDENTALES, PUNITIVOS EJEMPLARES, TRIPLES O CONSECUENTES (INCLUIDOS, ENTRE OTROS, PÉRDIDA DE NEGOCIOS, INGRESOS, GANANCIAS, TIEMPO DEL PERSONAL, BUENA VOLUNTAD, USO, DATOS U OTRA VENTAJA ECONÓMICA), YA SEA BASADO EN INCUMPLIMIENTO DE CONTRATO, INDEMNIZACIÓN, INCUMPLIMIENTO DE GARANTÍA, AGRAVIO (INCLUIDA LA NEGLIGENCIA), RESPONSABILIDAD DEL PRODUCTO O DE OTRO TIPO, YA SEA QUE (A) DICHOS DAÑOS FUERAN PREVISIBLES O NO, Y (B) EL ARRENDADOR HAYA SIDO ADVERTIDO PREVIAMENTE DE LA POSIBILIDAD DE TALES DAÑOS.

1. ASSIGNMENT, NOTICES, REMEDIES AND WAIVERS.

Without the prior written consent of Lessor, in its absolute discretion, the Lessee shall not assign this Agreement or its interests hereunder (including but not limited to any sublease of the Equipment, except where (i) Lessor has deemed Lessee, in its sole discretion and as evidenced by a written distribution agreement, as an authorized MSA channel partner able to sub-lease the Equipment, and (ii) such Lessee has flowed down the provisions of this Lease to sub-lessee, using language substantially similar to that found in the Lease Schedule.). Any purported assignment in violation of this Section 17 shall be null and void, and failure of Lessee to flow down these Lease provisions shall be an Event of Default.

All notices shall be either (i) delivered in person to an officer of the Lessor or Lessee; (ii) mailed certified mail; or (iii) sent by recognized overnight mail service to Lessor or Lessee, as applicable, at its respective address shown on the Lease Schedule or at such other address as Lessor or Lessee notifies the other Party in accordance with this Section. Notice shall take effect, where delivered by hand, at the time of delivery, in the case of a certified mail or overnight courier, at the time of delivery or at 9:00 am (local time in the country of the addressee) on the second business day after the time and date of posting.

No remedy of Lessor under this Agreement shall be exclusive of any other remedy under this Agreement or by law or in equity provided, but each shall be cumulative and in addition to every other remedy.

No waiver by any Party of any of the provisions hereof will be effective unless explicitly set forth in writing and signed by the Party so waiving. Except as otherwise set forth in this Agreement, (i) no failure to exercise, or delay in exercising, any rights, remedy, power, or privilege arising from this Agreement will operate or be construed as a waiver thereof and (ii) no single or partial exercise of any right, remedy, power, or privilege hereunder will preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.

1. CESIÓN, AVISOS, RECURSOS Y RENUNCIAS.

Sin el consentimiento previo por escrito del Arrendador, que será subjeto a su absoluta discreción, el Arrendatario no cederá este Acuerdo o sus intereses en virtud del presente incluidos, entre otros, cualquier subarrendamiento del Equipo, excepto cuando (i) el Arrendador haya considerado al Arrendatario, a su entera discreción y según lo demuestre un Acuerdo de distribución por escrito, como Socio de canal autorizado del Arrendador con facultades para subarrendar el Equipo, y (ii) dicho Arrendatario ha extendido las disposiciones de este Acuerdo de arrendamiento a dicho subarrendatario, utilizando un lenguaje sustancialmente similar al que se encuentra en el Programa de Arrendamiento. Cualquier cesión en violación de esta sección 17 será nula y sin efecto, y el hecho de que el Arrendatario no cumpla con estas disposiciones corresponderá a un Evento de Incumplimiento.

Todas las notificaciones se entregarán (i) en persona a un funcionario o representante del Arrendador o Arrendatario; (ii) enviadas por correo certificado; o (iii) enviadas por servicio de correo nocturno reconocido al Arrendador o Arrendatario, según corresponda, a su dirección respectiva que se muestra en el Programa de arrendamiento o en cualquier otra dirección como Arrendador o Arrendatario notifica a la otra parte de conformidad con esta sección. La notificación surtirá efecto, cuando se entregue en mano, en el momento de la entrega, en el caso de un correo certificado o un servicio de mensajería nocturno, en el momento de la entrega o a las 9:00 am (hora local en el país del destinatario) en el segundo día laboral después de la hora y fecha de envío.

Ningún recurso o remedio del Arrendador en virtud de este Acuerdo será excluyente de cualquier otro recurso en virtud de este Acuerdo o por ley, sino que cada uno será acumulativo y adicional a cualquier otro recurso.

Ninguna renuncia por cualquiera de las partes a cualquiera de las disposiciones del presente Acuerdo será efectiva ni tendrá efectos a menos que se acuerde explícitamente por escrito y esté firmada por la parte renunciante. Salvo que se establezca lo contrario en este Acuerdo, (i) ninguna falta de ejercicio, o demora en el ejercicio, de ningún derecho, recurso, poder o privilegio que surja de este Acuerdo operará o se interpretará como una renuncia al mismo y (ii) ningún ejercicio único o parcial de ningún derecho, recurso, facultad o privilegio en virtud del presente impedirá cualquier otro ejercicio o posterior del mismo o el ejercicio de cualquier otro derecho, remedio, facultad o privilegio.

1. FURTHER ASSURANCES. Lessee shall execute and deliver to Lessor, upon Lessor’s request, such other instruments, documents, and assurances as Lessor deems necessary or advisable for the confirmation or perfection of this Agreement and Lessor’s rights under this Agreement.

1. MÁS GARANTÍAS. El Arrendatario ejecutará y entregará al Arrendador, a petición del Arrendador, cualesquiera otros instrumentos, documentos y garantías que el Arrendador considere necesarios o convenientes para la confirmación o perfeccionamiento de este Contrato y derechos del Arrendador en virtud de este Contrato.

1. GOVERNING LAW; DISPUTE RESOLUTION.

This Agreement is governed by the laws of the Republic of Peru. The modifications that affect such laws shall be binding for the Parties as long as they do not affect the balance of their rights and obligations. In this sense, the Civil Code and, in general, the Peruvian legal system shall be applicable to all matters not provided for in this Agreement.

The Parties agree to submit all disputes arising out of or in connection with this Agreement, including those relating to its existence, validity or termination, to the judges and courts of the judicial district of Cercado de Lima.

1. LEY APLICABLE; RESOLUCIÓN DE DISPUTAS.

El presente Contrato se rige por lo dispuesto en las leyes de la República del Perú. Las modificaciones que afecten a dichas leyes serán vinculantes para las Partes siempre y cuando no afecten el equilibrio de sus derechos y obligaciones. En este sentido, todo lo no previsto en el presente Contrato, será de aplicación el Código Civil y, en general, el ordenamiento jurídico peruano.

Las Partes acuerdan someter todas las controversias que se deriven de este Contrato o que tengan relación con el mismo, incluidas las relativas a su existencia, validez o terminación, a jueces y tribunales del distrito judicial de Cercado de Lima.

1. AGREEMENT IRREVOCABILITY. This Agreement is irrevocable for its full term and for the aggregate Rent described above. The Rent shall not abate by reason of termination of Lessee’s right of possession and/or the taking of possession by the Lessor or for any other reason. A cancellation or termination hereunder shall occur only upon written notice by Lessor to Lessee, or repossession as provided above, and only with respect to such items of Equipment as Lessor specifically elects to cancel or terminate by such notice or repossession. Except as to any such item of Equipment with respect to which there is a cancellation or termination, this Agreement shall remain in full force and effect and Lessee shall be and remain liable for the full performance of all its obligations.

1. IRREVOCABILIDAD DEL ACUERDO.

Este Contrato es irrevocable por su vigencia completa y por la Renta agregada descrita anteriormente. La Renta no disminuirá por razón de la terminación del derecho de posesión del Arrendatario y / o la toma de posesión por parte del Arrendador o para cualquiera otra razón. Una cancelación o terminación en virtud del presente se producirá solo mediante notificación por escrito del Arrendador al Arrendatario, o la recuperación de posesión según lo dispuesto anteriormente, y solo con respecto a los artículos del Equipo que el Arrendador elija específicamente cancelar o terminar mediante dicho aviso o reposesión. Excepto en lo que respecta a cualquier elemento del equipo con respecto al cual haya una cancelación o terminación, este acuerdo permanecerá en pleno vigor y efecto y el Arrendatario será y seguirá siendo responsable del pleno cumplimiento de todas sus obligaciones.

1. SURVIVAL, ENTIRE AGREEMENT, MODIFICATIONS IN WRITING. Sections 1-4, 6, and 9-27 shall survive termination or expiration of this Agreement. This Agreement (including the Exhibits) shall constitute the entire agreement between the parties hereto with respect to the Equipment, and supersedes any proposal, terms sheet or other communication between the parties and may not be contradicted by oral or written communication, whether prior or contemporaneous. Any change or modification hereto and any related agreement must be in writing and signed by the parties hereto, and nothing in this Agreement shall be changed by course of dealing, course of trade, etc. In the event this Agreement is executed buy more than one Lessee, the obligations of each shall be joint and several.

1. VIGENCIA, ACUERDO COMPLETO, MODIFICACIONES POR ESCRITO. Las secciones [•] sobrevivirán a la terminación o expiración de este Contrato. Este Contrato (incluidas las pruebas documentales) constituirá el acuerdo completo entre las partes con respecto al Equipo, y reemplaza cualquier propuesta, hoja de términos u otra comunicación entre las partes y no puede ser contradicho por comunicación oral o escrita, ya sea anterior o contemporánea. Cualquier cambio o modificación del presente y cualquier acuerdo relacionado debe ser por escrito y firmado por las partes del presente, y nada en este Contrato se cambiará por el curso de la negociación, el curso del comercio, etc. En el caso de que este Contrato se ejecute por más de un Arrendatario, las obligaciones de cada uno serán conjuntas, solidarias y varias.

1. COUNTERPARTS; E-SIGNATURE. This Agreement, and any writing the subject matter or content of which is, or relates to, or arises out of, this Agreement, may be executed in any number of counterparts, each of which will be deemed an original, but all of which taken together will constitute one single agreement between the Parties. This signed Agreement or counterparts may be exchanged electronically or stored electronically as a photocopy (such as in .pdf format). The Parties agree that electronically exchanged or stored copies will be enforceable as original documents. The Parties consent to the use of electronic and/or digital signatures (including but not limited to a digital “clic-thru”) for the execution of this Agreement and further agree that the use of such electronic and/or digital signatures will be binding, enforceable and admissible into evidence in any dispute regarding this Agreement. The Agreement does not take effect until it has been executed by both Parties.

1. CONTRAPARTES; FIRMA ELECTRÓNICA. Este Contrato, y cualquier escrito cuyo objeto o contenido sea, o se relacione con, o surja de, este Contrato, puede ejecutarse en cualquier número de contrapartes, cada una de las cuales se considerará un original, pero todas las cuales en conjunto constituirán un solo acuerdo entre las partes. Este Contrato firmado o sus contrapartes pueden intercambiarse electrónicamente o almacenarse electrónicamente como fotocopia (por ejemplo, en formato .pdf). Las partes acuerdan que las copias intercambiadas o almacenadas electrónicamente serán ejecutables como documentos originales. Las Partes consienten el uso de firmas electrónicas y / o digitales (incluyendo, pero no limitado a, un "clic-thru" digital) para la ejecución de este acuerdo y además acuerdan que el uso de dichas firmas electrónicas y / o digitales será vinculante, ejecutable y admisible como evidencia en cualquier disputa relacionada con este Contrato. 1. INDEPENDENT CONTRACTOR. The parties are independent contractors to one another. Lessor is not, and shall not be deemed to be, an agent, employee or representative of Lessee, for any purpose whatsoever.

1. CONTRATISTA INDEPENDIENTE. Las partes son contratistas independientes entre sí. El Arrendador no es, y no se considerará que es, un agente, empleado o representante del Arrendatario, para ningún propósito.

1. SEVERABILITY. If this Agreement or any provision or a part provision hereof is deemed by a final court of competent jurisdiction to be invalid, illegal or unenforceable in any respect or in any jurisdiction, that provision or part-provision will be deemed not to form part of this Agreement and such invalidity, illegality or unenforceability of this Agreement will not affect the remainder of the provisions or part-provisions of this Agreement. Upon such determination that any term, provision or part of a provision is invalid, illegal, or unenforceable, the Parties shall negotiate in good faith to modify this Agreement so as to effect their original intent as closely as possible in a mutually acceptable manner in order that the transactions contemplated hereby be consummated as originally contemplated to the greatest extent possible.

1. DIVISIBILIDAD. Si un tribunal final de jurisdicción competente considera que este Contrato o cualquier disposición o una disposición parcial del mismo son inválidos, ilegales o inaplicables en cualquier aspecto o en cualquier jurisdicción, esa disposición o disposición parcial se considerará que no forma parte de este Contrato y tal invalidez, ilegalidad o inaplicabilidad de este Contrato no afectará al resto de las disposiciones o disposiciones parciales de este Contrato. Tras tal determinación de que cualquier término, disposición o parte de una disposición es inválido, ilegal o inaplicable, las partes negociarán de buena fe para modificar este Contrato a fin de llevar a cabo su intención original lo más cerca posible de una manera mutuamente aceptable para que las transacciones contempladas por el presente se consumen como se contempló originalmente en la mayor medida posible.

1. HEADINGS, INTERPRETATION. Whenever the context of this Agreement requires, the singular number includes the plural. Section headings contained herein are solely for the convenience of the parties, and are not an aid in the interpretation of the instrument. This Agreement shall be deemed mutually written and executed by the parties, nothing shall be construed as against the drafter. Time is of the essence of this Agreement and its provisions. The wording, “including” means “including without limitation” unless specifically noted otherwise.

1. ENCABEZADOS, INTERPRETACIÓN. Siempre que el contexto de este Contrato lo requiera, el número singular incluye el plural. Los encabezamientos de las secciones que figuran en el presente documento son únicamente para la conveniencia de las partes y no son una ayuda en la interpretación del instrumento. Este Contrato se considerará mutuamente escrito y ejecutado por las partes, nada se interpretará en contra del redactor. El tiempo es la esencia de este Contrato y sus disposiciones. La redacción, "incluyendo" significa "incluyendo sin limitación" a menos que se indique específicamente lo contrario.

1. FORCE MAJEURE. Except for Lessee’s obligations to make payment hereunder, in no event shall either party be liable to the other party, or be deemed to have breached this Agreement, for any failure or delay in performing its obligations under this Agreement, if and to the extent such failure or delay is caused by any circumstances beyond such Party’s reasonable control, including materials shortages, acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot or other civil unrest, strikes, labor stoppages or slowdowns or other industrial disturbances, or passage of law or any action taken by a governmental or public authority, including imposing an embargo.

1. FUERZA MAYOR. A excepción de las obligaciones del Arrendatario de realizar el pago en virtud del presente, en ningún caso será responsable ante las otras partes, o se considerará que ha incumplido este Contrato, por cualquier incumplimiento o retraso en el cumplimiento de sus obligaciones en virtud de este acuerdo, si y en la medida en que dicho incumplimiento o retraso sea causado por cualquier circunstancia fuera del control razonable de dicha Parte, incluyendo escasez de materiales, caso fortuito, inundación, incendio, terremoto, explosión, guerra, terrorismo, invasión, disturbios u otros disturbios civiles, huelgas, paros o desaceleraciones laborales u otros disturbios industriales, o aprobación de leyes o cualquier acción tomada por una autoridad gubernamental o pública, incluida la imposición de un embargo.

1. THIRD PARTY RIGHTS. This Agreement is for the benefit of the Parties and their successors and permitted assigns, and does not confer any rights or benefits on any third party, including any employee or contractor of a Party, any client of a Party, or any employee of a client of a Party. The rights of the Parties to terminate, rescind or agree any variation, waiver or settlement under this Agreement are not subject to the consent of any person that is not a party to this Agreement.

Este Contrato es para el beneficio de las partes y sus sucesores y cesionarios permitidos, y no confiere ningún derecho o beneficio a ningún tercero, incluido cualquier empleado o contratista de una de las partes, cualquier cliente de una parte o cualquier empleado de un cliente de una parte. 1. NON-EXCLUSIVITY. The Parties expressly recognize that the present Agreement is not exclusive, which implies that the Lessor is fully entitled to provide other similar or non-exclusive services with other companies, which shall not impair the nature of the lease hereby contracted. Likewise, the Lessee is empowered to contract other rentals similar to those provided by the Lessor, which shall not alter the services contracted by the present document; unless it has subscribed some other limitation in some other document.

1. NO EXCLUSIVIDAD. Las Partes reconocen expresamente que el presente Contrato no tiene carácter de exclusividad, lo cual implica que el Arrendador está plenamente facultades para atender otros servicios similares o no con otras empresas, lo que no menoscabará la naturaleza del arrendamiento que por el presente documento se contrata. De igual modo, el Arrendatario se encuentra facultado para contratar otros alquileres similares a los prestados por el Arrendador, lo que no alterará los servicios contratados por el presente documento; salvo que haya suscrito alguna otra limitación en algún otro documento.

1. ANTI-CORRUPTION. The Parties, as well as their directors, officers, employees, agents or anyone acting on behalf of any of the foregoing, represent that they: (i) not to have used corporate monies for the payment of illegal contributions, gifts, presents, entertainment or for other illegal or improper expenditures related to any political activity; (ii) not have taken or will take any action to facilitate an illegal offer, payment or promise to pay or authorize or approve the payment or giving of any money, gift, gratuity or other thing of value, directly or indirectly, to any government official (including any official of a governmental entity or state-owned or state-controlled entity or public international organization) or to any person acting under the authority of any governmental entity or state-controlled entity or public international organization, or to any person acting in an official capacity or political party or member of a political party or candidate for political office) or to influence an act of government or administrative authority or to secure an improper advantage in violation of applicable law; and (iv) has not engaged in an act of bribery, payment or influenced the determination of an improper payment.

1. ANTICORRUPCIÓN. Las Partes al igual que sus directores, ejecutivos, empleados, agentes o cualquiera que actúe en representación de cualquiera de los anteriores, declara: (i) no haber utilizado dineros societarios para el pago de aportes ilegales, regalos, obsequios, entretenimientos o para otros gastos ilegales o indebidos relacionados con alguna actividad política; (ii) no haber ejercido ni ejercerá ninguna acción destinada a facilitar una oferta ilegal, un pago o la promesa de pagar o autorizará o aprobará el pago o entrega de dineros, regalos, dádivas o cualquier otro objeto de valor, directa o indirectamente, a algún funcionario de gobierno (incluido cualquier funcionario de una entidad gubernamental o entidad estatal o controlada por el estado o de una organización pública internacional, o a cualquier persona que actúe bajo una calidad oficial o partido político o miembro de un partido político o candidato a un cargo político) o a influenciar un acto de gobierno o autoridad administrativa o asegurar una ventaja indebida en contravención con la normativa aplicable; y (iv) no haber realizado un acto de cohecho, pago ni ha influido en la determinación de un pago indebido.

1. PERSONAL DATA OF THE LESSEE. The Parties expressly declare that they are aware of the scope of Law No. 29733, Personal Data Protection Law and its Regulations approved by Supreme Decree 003-2013-JUS, and therefore expressly undertake to comply with such regulations. The Lessee represents and warrants that before providing Customer Personal Data to the Lessor, it will comply with all relevant laws regarding disclosure of personal data including providing notices or obtaining permission from third parties to share their personal information with the Lessor pursuant to the Agreement or in connection with the use of the Equipment. The Lessee shall be responsible for complying with all the formalities indicated in the relevant regulation in order for the Lessor to process the Customer Personal Data and, to demonstrate that the owners of such information have given their informed consent regarding the use to be made of the indicated information.

The Lessor shall take reasonable measures to protect the security of personal information brought to its attention by the Lessee. All use of the Lessor's services shall be subject to its terms of service, data transparency statement and privacy and security policies, as updated from time to time, copies of which are available at https://us.msasafety.com/privacy-policy .

1. DATOS PERSONALES DEL ARRENDATARIO. Las Partes declaran expresamente conocer los alcances de la Ley N° 29733, Ley de Protección de Datos Personales y su Reglamento aprobado por medio de Decreto Supremo 003-2013-JUS, por lo que se comprometen expresamente a dar cumplimiento a dichas normas. El Arrendatario declara y garantiza que antes de suministrar Datos Personales de Clientes al Arrendador, cumplirá con todas la leyes pertinentes en materia de divulgación de datos personales incluyendo el suministro de notificaciones o la obtención de permisos de terceros para poder compartir la información personal de los mismos con el Arrendador conforme al Contrato o en relación con el uso del Equipo. El Arrendatario será responsable de cumplir todas las formalidades indicadas en la regulación correspondiente para que el Arrendador pueda tratar los Datos Personales de Clientes y, para demostrar que los propietarios de dicha información han dado su consentimiento informado respecto al uso que se le dará a la información indicada.

El Arrendador adoptará medidas razonables para proteger la seguridad de la información personal que el Arrendatario ponga en su conocimiento. Todo uso de los servicios del Arrendador deberá estar supeditado a sus condiciones del servicio, declaración de transparencia de datos y políticas de confidencialidad y seguridad, según las actualizaciones periódicas de las mismas, de las cuales hay disponibles copias en https://us.msasafety.com/privacy-policy.

1. TRANSFER OF PERSONAL DATA. The Parties agree not to transfer to third parties the data obtained as a result of this Agreement, unless it is necessary for the fulfillment of the contractual obligations contained in this document, which must have prior, express and written authorization from the other Party.

1. CONSERVATION AND USE OF PERSONAL DATA. The Parties undertake not to use the personal and/or sensitive data obtained for different purposes, and shall keep them for the period necessary to comply with the obligations of the Agreement. Upon termination of this Agreement for any reason whatsoever, the Lessor shall return the data to the Lessee and shall not keep a copy of such data.

1. CONSERVACIÓN Y USO DE DATOS PERSONALES. Las Partes se comprometen a no emplear los datos personales y/o sensibles obtenidos para finalidades diferentes, y los conservará por el plazo necesario para el cumplimiento de las obligaciones del Contrato. This Schedule covers the following described equipment (“Equipment”) and software subscription services (“SaaS”) described below and regulated by the SaaS Agreement. Any SaaS mentioned on this Schedule is subject to the terms and conditions of the SaaS Agreement.

Lessee hereby irrevocably authorizes Lessor to insert in this MSA+ Lease Schedule (“Exhibit”) the Commencement Date of payment obligations which will correspond to the delivery date of the first Equipment upon written notice to Lessee. From that date, payment of the corresponding Rent will be due and payable. Lessor shall be entitled to increase the Rent during each Renewal Term with written notice to Lessee. Notwithstanding the foregoing, if the Initial Term is greater than five (5) years, Lessor shall be entitled to increase the Fees after the initial three (3) years.

The Equipment is leased pursuant to the provisions of the Master Equipment Lease Agreement between the undersigned Lessee and Lessor dated the effective date of this Addendum (the "Agreement"), the terms of which are incorporated herein by reference herein, plus the following additional terms, provisions and modifications found in this Addendum. Unless Lessee provides at least one hundred twenty days' notice prior to the expiration of the Lease Term, the Lease shall automatically renew for successive one-year periods (each, a "Renewal Term" and together with the initial term, the "Lease Term"). Landlord shall have the right to increase the rent by up to 3% per annum during each Renewal Term.

If Lessee is deemed an authorized Lessor Channel Partner entitled to sublease the Equipment under Section 17 of the Master Lease Agreement, Lessee shall incorporate the following (or substantially similar) clause into its subcontracts: This sublease shall be subject to the same terms and conditions of the Master Lease Agreement between [MSA Company] as Lessor and [Name of Lessee] as Lessee, and [Name of Sub-lessee] is bound by the same restrictions and obligations of Lessee under such agreement as if it were a party thereto.
